Indonesian unincorporated business entities and the limited liability company

This study is a small contribution to fulfill the need to gain a better understanding of both the partnerships and the limited liability company governed by Indonesian law.
A careful reading of the relevant sections of the Indonesian Civil Code and Comercial Code which are both more than 150 years old will unmistakably show that Indonesian law recognizes three types of partnerships. They are the limited liability civil partnership commonly used by professionals such as lawyers and public accountants as their vehicle to exercise their respective professions : the limited commercial partnership (CV) and the unlimited commercial partnership (Firma) used as business vehicles.
Besides the commercial partnerships which are not legal entities as they are not vested with juristic personality, the Commercial Code has also regulated the limited liability company (Perseroan Terbatas) which is a juristic person. The 21 Articles in the Commercial Code regulating the Perseroan Terbatas (PT) were in 1995 replaced by the provisions stipulated in Law No. 1 of Year 1995 concerning the Perseroan Terbatas. This law on the PT was subsequently replaced in toto by Law No. 40 of Year 2007 concerning the Perseroan Terbatas.
